This Agreement is made on between FM Holdings LLC d/b/a The Sticky Trap (“The Sticky Trap”) and (the “other Party” or “you”). Each is a “Party”.
Purpose of the meeting:
Confidentiality. In connection with the Parties' discussions, each Party may share confidential information with the other, in any form and whether or not it is marked, including designs, artwork, pricing, methods, customers, and business plans. Each Party agrees to keep the other Party's confidential information strictly confidential, to use it only for the purpose above or to evaluate or conduct business between the Parties, and not to disclose it to anyone else without the other Party's prior written consent. On request, each Party will promptly return or destroy the other Party's confidential materials, including samples, proofs, and price sheets. Because a breach would cause harm that money alone may not repair, the harmed Party may seek an injunction without posting bond, in addition to any other remedy.
Pricing and quantities. The pricing The Sticky Trap gives you, the quantities you order, and any price breaks tied to those quantities are absolutely no one else's business. You will not share, forward, post, or quote them to anyone: not other printers, brokers, reps, or other brands. This covers quotes, invoices, price sheets, and anything said at the table, and it stays confidential for as long as it is not public, even after this Agreement ends. Initials
Portfolio. Once a product The Sticky Trap made for you has been publicly released by you, The Sticky Trap may show the finished product in its portfolio and on social media, without pricing or order details, unless you ask in writing that it not be shown.
Behind the scenes. May The Sticky Trap post the making of your order on social media (design, proofing, production, quality check, packaging, promo videos)? Whatever you pick, your pricing and quantities are never shown. If nothing is picked, the answer is NO. You may change your answer at any time in writing.
Time covered. This Agreement starts on the date written above and stays in force for three (3) years from that date, whether or not the Parties end up doing business together. It covers information shared before that date, at the meeting, and at any time during the three years. Trade secrets stay protected for as long as they remain trade secrets.
What is not covered. Information that is or becomes public through no fault of the receiving Party; that the receiving Party already lawfully knew, later receives from someone free to share it, or develops on its own; or that a court or government agency requires it to disclose, after giving the other Party notice where lawful.
Michigan law governs, with venue in Washtenaw County. This is the Parties' whole agreement on this subject and can be changed only in a writing signed by both. If any part is unenforceable, the rest stands. Nothing here obligates either Party to do business or transfers ownership of anything. Counterparts and electronic or photographed signatures count. Each signer confirms they have authority to sign for their company, read this Agreement, and received a copy.
